Terms & Conditions

Please read these Terms carefully before using the ZapU platform. By using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the ZapU platform ("Platform"), you ("Merchant" or "User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Ideas Cloud LLP ("ZapU," "we," "our," or "us"), a limited liability partnership incorporated under the laws of India. We reserve the right to update or modify these Terms at any time. We will notify you of material changes via email or through the Platform. Continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

2. Description of Services

ZapU provides a one-click checkout optimisation platform ("Services") that enables eCommerce merchants to offer a faster checkout experience to their shoppers. Our Services include, but are not limited to: • Checkout widget integration for WooCommerce, Shopify, and other platforms • Shopper identity verification via OTP • Address autocomplete and management • Payment gateway integration (COD, UPI, cards, netbanking, wallets) • Order analytics and conversion reporting • Fraud and RTO risk scoring • Offers and discount engine ZapU acts as a technology platform and intermediary. We do not process payments directly — all payment transactions are handled by the Merchant's designated payment gateway. ZapU is not responsible for payment failures, refunds, or disputes between Merchants and their shoppers.

3. Eligibility and Registration

To use our Services, you must: • Be a legally registered business entity in India or be authorised to conduct business in India • Be at least 18 years of age • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] of any unauthorised access or use of your account. ZapU shall not be liable for any losses resulting from your failure to safeguard your credentials.

4. Merchant Obligations

As a Merchant using the ZapU Platform, you agree to: • Comply with all applicable laws and regulations, including the Information Technology Act 2000, the Consumer Protection Act 2019, the Payment and Settlement Systems Act 2007, and all RBI guidelines • Maintain valid licences and registrations required for your business • Ensure your products or services are legal and do not violate any third-party rights • Not use the Platform for any unlawful, deceptive, fraudulent, or harmful purposes • Not reverse-engineer, decompile, or attempt to extract the source code of the Platform • Not use ZapU's brand, logos, or trademarks without our prior written consent • Promptly resolve shopper complaints related to your products, services, or fulfilment • Maintain adequate stock and fulfilment capacity for orders placed through the Platform You are solely responsible for the accuracy of product listings, pricing, and inventory on your store. ZapU bears no responsibility for Merchant-side errors, fulfilment delays, or product quality issues.

5. Payment and Billing

ZapU charges platform fees ("Subscription Fees") for access to its Services. Fees are billed as per the plan selected at the time of registration or as updated by mutual agreement. • Subscription Fees are charged monthly or annually in advance • Fees are non-refundable except as expressly provided in our Refund & Cancellation Policy • All fees are exclusive of applicable taxes (GST, etc.), which will be charged separately • We reserve the right to modify our pricing with 30 days' prior notice • Failure to pay fees when due may result in suspension or termination of your account • Disputed invoices must be raised in writing to [email protected] within 7 days of the invoice date ZapU uses third-party payment processors to collect Subscription Fees. By providing payment details, you authorise ZapU to charge fees as they become due.

6. Data and Privacy

ZapU collects and processes shopper data (name, phone, email, address) on behalf of Merchants for the purpose of enabling the checkout experience. By using our Platform: • You acknowledge that you are the data controller for shopper data collected through your store • ZapU acts as a data processor on your behalf • You are responsible for obtaining valid consent from shoppers to share their data with ZapU for checkout purposes • You must maintain a compliant Privacy Policy on your store disclosing the use of ZapU ZapU implements reasonable technical and organisational measures to protect data. However, no internet transmission is completely secure. You must notify us immediately if you become aware of any data breach. ZapU's data handling practices are further described in our Privacy Policy.

7. Intellectual Property

All intellectual property rights in the Platform, including software, technology, branding, and documentation, vest exclusively with Ideas Cloud LLP. Nothing in these Terms grants you any ownership interest in ZapU's intellectual property. You grant ZapU a limited, non-exclusive, royalty-free licence to use your logo and brand name solely for the purpose of identifying you as a customer of ZapU (e.g., on our website or marketing materials), which may be revoked at any time by written notice to [email protected]. You retain ownership of your store data and business information. ZapU may use anonymised and aggregated data derived from your usage for platform improvement and benchmarking.

8. Limitation of Liability

To the maximum extent permitted by applicable law: • ZapU's total liability to you for any claim arising out of or related to these Terms or the Services shall not exceed the Subscription Fees paid by you to ZapU in the 3 months preceding the event giving rise to the claim • ZapU shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if ZapU has been advised of the possibility of such damages • ZapU makes no warranties, express or implied, regarding the Platform, including warranties of merchantability, fitness for a particular purpose, or non-infringement • ZapU does not warrant that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

9. Termination

Either party may terminate the agreement at any time: • Merchants may cancel their subscription at any time through the dashboard or by emailing [email protected]. Cancellations take effect at the end of the current billing cycle. No refund will be issued for the remaining period of the current cycle. • ZapU may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or use the Platform in a manner that causes harm to other users or ZapU Upon termination, your access to the Platform will cease. ZapU will retain your data for a period of 90 days, after which it may be permanently deleted. You may request an export of your data within this period by contacting [email protected]. Sections relating to payment obligations, intellectual property, limitation of liability, and governing law shall survive termination.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, including its validity, interpretation, breach, or termination, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English. Each party shall bear its own costs of arbitration unless the arbitrator directs otherwise. For disputes involving amounts below ₹50,000, you may approach the appropriate consumer forum or civil court in Mumbai.

11. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and ZapU relating to your use of the Platform. • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future. • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ZapU may assign these Terms in connection with a merger, acquisition, or sale of assets. • Notices: All notices under these Terms shall be in writing and sent to [email protected] (for notices to ZapU) or the email address on your account (for notices to you).
